1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of SIE Data's SIE Data platform, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
SIE Data, Inc. ("SIE Data," "we," "us," or "our") provides a Compliance-as-a-Service (CaaS) data arbitrage platform that connects data suppliers (Publishers) with data buyers (Buyers).
2. Definitions
- "Buyer" - An entity that purchases intent signals or data through the Service.
- "Publisher" - An entity that supplies data to SIE Data through the VI Tag or other approved integration methods.
- "Signal" - A unit of intent data, including contact information and associated attributes.
- "VI Tag" - SIE Data's JavaScript tracking pixel deployed on Publisher websites.
- "DROP" - The California Delete Act (SB 362) Data Broker Registry and Opt-Out Platform.
- "DPA" - Data Processing Agreement governing data handling between parties.
3. Service Description
3.1 SIE Data
SIE Data operates an intent signal marketplace that:
- Collects consent-verified intent data from our data network
- Enriches and qualifies signals with timing and context attributes
- Delivers high-intent signals to qualified Buyers
- Maintains compliance with California Delete Act (SB 362) via DROP integration
3.2 What We Are NOT
IMPORTANT: SIE Data is NOT a Consumer Reporting Agency (CRA).
We do not provide consumer reports for purposes of:
- Credit eligibility decisions
- Employment screening
- Tenant screening
- Insurance underwriting
- Any purpose governed by the Fair Credit Reporting Act (FCRA)
Our signals are for marketing purposes only.
4. Account Registration
To use the Service, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access
- Accept responsibility for all activities under your account
5. Buyer Terms
5.1 Signal Purchases
- Signals are priced per-unit based on qualification tier
- Purchases are non-refundable except for quality issues
- Volume discounts may apply for enterprise commitments
5.2 Permitted Use
Buyers may use signals only for:
- Direct marketing and sales outreach
- Advertising targeting and personalization
- Market research and analytics
5.3 Prohibited Use
Buyers may NOT use signals for:
- Credit, employment, or insurance eligibility decisions
- Resale without written authorization
- Any purpose requiring FCRA compliance
- Harassment, stalking, or illegal purposes
6. Publisher Terms
6.1 VI Tag Deployment
- Publishers must have legal authority to collect data on their properties
- Publishers must display appropriate privacy notices
- Publishers must honor consumer opt-out requests
6.2 Revenue Sharing
- Publishers receive a percentage of signal revenue
- Payment terms are specified in the Publisher Agreement
- Minimum thresholds may apply for payouts
7. Compliance
7.1 DROP Integration
SIE Data automatically syncs with the California DELETE Act (SB 362) DROP platform. Consumer deletion requests are processed within 45 days.
7.2 Data Processing Agreement
Enterprise customers may require a separate Data Processing Agreement (DPA) governing data handling. Contact [email protected] for DPA requests.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIE Data SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
9. Termination
Either party may terminate this agreement:
- With 30 days written notice for convenience
- Immediately for material breach
- Immediately for violation of prohibited use terms
