Publisher Data Partnership Agreement

Effective Date: Upon acceptance via the SIE Data Publisher Dashboard

Parties: SIE Data, Inc. ("SIE") and the entity or individual accepting these terms ("Publisher")

1. Definitions

  • Signal -- A behavioral or intent data point derived from a consumer interaction (e.g., calculator completion, quiz response, form submission). Signals are not credit scores, eligibility determinations, or consumer reports.

  • Zero-Party Data (ZPD) -- Information a consumer voluntarily provides through an interactive tool hosted on a Publisher property.

  • Mechanism -- An interactive tool (calculator, quiz, form, comparison, assessment) embedded on the Publisher's website via the SIE embed infrastructure.

  • Buyer -- A third party that purchases signals through SIE's marketplace.

  • DROP -- SIE's Data Rights & Obligations Protocol governing compliant signal distribution.

  • Revenue Share -- The percentage of signal sale revenue paid to the Publisher.

    2. Publisher Obligations

    2.1 Privacy Policy


    Publisher must maintain a publicly accessible privacy policy on every domain where SIE mechanisms are embedded. The privacy policy must disclose:
  • That interactive tools collect user-provided responses

  • That anonymized intent signals may be shared with third-party service providers

  • How consumers can opt out of data sharing
  • 2.2 Consent Banner


    Publisher must display a consent mechanism (cookie banner, TCF v2.2 CMP, or equivalent) on pages hosting SIE mechanisms. Consumer-facing mechanisms require explicit opt-in consent before submission data is transmitted to SIE.

    2.3 Deletion Forwarding


    When a consumer exercises a deletion right (CCPA, GDPR, or equivalent), Publisher must notify SIE within 72 hours by submitting a deletion request through the Publisher Dashboard or API. SIE will propagate the deletion to all downstream buyers within 48 hours.

    2.4 Accurate Representation


    Publisher must not misrepresent the purpose of SIE mechanisms. Tools labeled as "calculators" or "estimators" must clearly state they provide estimates, not binding quotes or professional advice.

    2.5 Domain Registration


    Publisher must register all domains where SIE mechanisms will be embedded via the Publisher Dashboard. SIE embed scripts will only function on registered domains.

    3. Data Usage

    3.1 Signals, Not Scores


    SIE processes ZPD submissions into behavioral intent signals. SIE does not produce consumer reports, credit scores, or eligibility determinations. All data handling complies with FCRA by design -- SIE is not a consumer reporting agency.

    3.2 FCRA Compliance


    The following data categories are permanently blocked from collection, storage, and distribution:
  • Credit scores, FICO scores, bankruptcy records

  • Payment history, collections, employment history

  • Rental history, criminal records

  • Any field classified as `regulatory_class = FCRA`
  • 3.3 Permissible Signal Types


    SIE collects and distributes only:
  • Behavioral intent (tool usage patterns, stated preferences)

  • Transactional signals (permit applications, public filings)

  • Self-declared preferences (budget ranges, timelines, priorities)

  • Cohort-level attributes (zip code, metro area, category interest)
  • 3.4 Data Minimization


    SIE collects only the fields defined in the mechanism configuration. No additional browser fingerprinting, device tracking, or cross-site profiling is performed through SIE mechanisms.

    4. Revenue Share

    4.1 Share Rates


    Publisher earns a revenue share on every signal sold to a buyer that originated from the Publisher's properties:

    Exact rates are set during onboarding and documented in the Publisher Dashboard.

    4.2 Payment Terms


  • Revenue is calculated monthly based on signals sold during the calendar month

  • Payments are issued within 30 days of month-end

  • Minimum payout threshold: $50.00 (balances below this roll to the next month)

  • Payment methods: ACH, wire transfer, or PayPal
  • 4.3 Reporting


    Publisher has access to real-time revenue reporting in the Publisher Dashboard, including signal volume, sell-through rate, average signal value, and buyer demand by category.

    4.4 Minimum Term


    The initial partnership term is 90 days from activation. After the initial term, either party may terminate with 30 days written notice.

    5. Audit Rights

    5.1 SIE Audit Rights


    SIE may audit Publisher's implementation at any time to verify:
  • Consent mechanisms are functioning correctly

  • Privacy policy disclosures are accurate and current

  • Mechanisms are not misrepresented to consumers

  • Deletion requests are being forwarded promptly
  • 5.2 Publisher Audit Rights


    Publisher may request an annual audit report covering:
  • Signal distribution recipients (buyer categories, not individual buyer identities)

  • Deletion request completion records

  • Compliance pipeline processing logs

    6. Term and Termination

    6.1 Term


    This agreement begins on acceptance and continues for an initial term of 90 days. After the initial term, it renews automatically on a month-to-month basis.

    6.2 Termination for Convenience


    After the initial 90-day term, either party may terminate with 30 days written notice via the Publisher Dashboard or email to [email protected].

    6.3 Termination for Cause


    Either party may terminate immediately if the other party:
  • Materially breaches this agreement and fails to cure within 15 days of written notice

  • Violates applicable data protection laws

  • Becomes insolvent or ceases operations
  • 6.4 Effect of Termination


    Upon termination:
  • SIE will remove all mechanisms from Publisher domains within 48 hours

  • Outstanding revenue share balances will be paid within 60 days

  • SIE will retain signals already distributed to buyers (deletion requests still honored)

  • Publisher's access to the Publisher Dashboard will be deactivated

    7. Indemnification

    7.1 Publisher Indemnification


    Publisher will indemnify SIE against claims arising from:
  • Publisher's failure to maintain required consent mechanisms

  • Misrepresentation of mechanism purpose to consumers

  • Publisher's violation of applicable privacy laws on Publisher properties
  • 7.2 SIE Indemnification


    SIE will indemnify Publisher against claims arising from:
  • SIE's processing of signals after receipt from Publisher

  • Downstream buyer misuse of signals purchased through SIE

  • SIE's failure to honor consumer deletion requests forwarded by Publisher
  • ---

    8. Limitation of Liability

    Neither party's total liability under this agreement will exceed the greater of (a) the revenue share paid or payable to Publisher in the 12 months preceding the claim, or (b) $10,000.

    Neither party is liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the theory of liability.

    This limitation does not apply to breaches of data protection obligations or indemnification obligations.

    9. General

  • Governing Law: State of Delaware, United States

  • Dispute Resolution: Good-faith negotiation, then binding arbitration (AAA Commercial Rules)

  • Assignment: Neither party may assign without written consent, except in connection with a merger or acquisition

  • Entire Agreement: This agreement, together with the Publisher Dashboard terms, constitutes the entire agreement between the parties

  • Amendments: SIE may update these terms with 30 days notice via the Publisher Dashboard. Continued use after notice constitutes acceptance.
